Robot-mower maker FireFly files for Nasdaq direct listing as FFLY after first-half sales jump 33% to $30.5M

FireFly Robotics, the Salt Lake City maker of autonomous electric mowers for golf courses, said in a press release on Oct 7 that it has publicly filed a Form S-1 with the SEC for a direct listing of its common stock on the Nasdaq Global Market under the ticker FFLY; the company will sell no shares and raise no proceeds in the listing, and Chardan is its financial adviser. The S-1 shows revenue of $30.5 million for the six months to June 30, 2026, up from $22.9 million a year earlier, with gross margin rising to 23.1% from 16.7% and the operating loss narrowing to $2.7 million, while the net loss widened to $9.1 million because of $6.2 million in fair-value charges on convertible debentures and warrants; 2025 revenue was $47.2 million, $35.0 million of it from machines, and the net loss $15.1 million. The filing says about 15.29 million common shares will be outstanding on listing, and a separate Form D filed Oct 13 shows the company sold $3.4 million of securities to 245 investors through broker R.F. Lafferty from Oct 7. FireFly said on Oct 9 that its AMP-L100 fleet has now mowed more than 150,000 acres, double the total it reported in May, at courses in 33 US states plus Puerto Rico, Mexico and Canada. This is the company's second attempt at the public market: its EDGAR record shows a 2025 S-1 with two amendments, a withdrawal request (Form RW) in March 2026 and new confidential drafts in June and August. In MEKAWIRE's database the closest autonomous-mowing peers are far smaller in disclosed capital, Greenzie with four Form D offerings totalling $14.4 million since 2019 and Electric Sheep with a $21.5 million Series A in 2022.
