Nauticus Robotics was incorporated in Texas on March 27, 2014 as Houston Mechatronics, Inc., was founded by former NASA engineers, and is headquartered in Houston, where it develops autonomous robots for the ocean industries. Its systems include the Aquanaut autonomous subsea vehicle, the Comanche ROV, the Olympic Arm electric manipulator and the ToolKITT autonomy software, which it released commercially in September 2026 for existing ROV fleets, and it sells robotic services, vehicles, components and software licences to commercial and defense customers. It went public through a business combination with CleanTech Acquisition Corp. that closed on September 9, 2022, and its shares began trading on Nasdaq under KITT on September 13, 2022. When the deal was announced in December 2021 the companies expected about $73 million of PIPE commitments from investors including Schlumberger, Transocean, AeroVironment and Material Impact and a pro forma equity value of about $561 million. In November 2022 Nauticus reported that the combination had generated net proceeds of $58.7 million and cited a $31 million PIPE and $35.8 million of debentures, without giving a gross total. For the second quarter of 2026 it reported revenue of $0.9 million, a net loss of $11.1 million and $2.0 million of cash, cash equivalents and restricted cash, and John Gibson is president and chief executive. It carried out a 1-for-6 reverse stock split effective September 24, 2026, and on September 25, 2026 announced a non-binding letter of intent with an unnamed strategic investor for a private placement equity investment of up to $50 million.
