Agility Robotics SPAC to raise $465M after redemptions; AGLT to trade on Nasdaq Nov 5

Agility Robotics and Churchill Capital Corp XI said on Oct 30 that their merger will raise about $465 million before expenses once Churchill XI's redemption deadline has passed: about $164 million left in the trust, a $201 million PIPE at $10 a share led by Foxconn, and $100 million Agility already received.

The deal is expected to close on Nov 4 after a Nov 2 shareholder vote, with AGLT trading on Nasdaq from Nov 5. MEKAWIRE's comparison with the Oct 13 terms shows the trust falling from about $424 million, so roughly 61% of it was redeemed, while the PIPE held.

Agility Robotics and its blank-check partner Churchill Capital Corp XI said on Oct 30 that the merger will bring in about $465 million in gross proceeds before expenses, now that Churchill XI's redemption deadline has passed. The joint press release was furnished to the SEC the same day as an exhibit to a Form 8-K. The total is well below the more than $620 million the two sides described on Oct 13, a figure that assumed no shareholder would redeem.

Trust holders took their cash, Foxconn's PIPE stayed

According to the release, the $465 million has three parts: about $164 million left in Churchill XI's trust account, a common stock PIPE of about $201 million committed at $10 per share and led by Foxconn, and $100 million of equity funding that Agility Robotics already received after the deal was announced in June. Churchill XI shareholders vote at an extraordinary general meeting on Nov 2. If they approve, the business combination and the PIPE are expected to close on Nov 4, and the combined company is expected to start trading on Nasdaq under the ticker AGLT on Nov 5. All existing Agility shareholders roll their equity into the combined company and are locked up for 180 days after closing. Holders who asked to redeem can still withdraw that request until the vote, the 8-K says, so the trust figure may yet move.

Why it matters

The redemption count was the first public-market test for a US humanoid maker heading to a listing, and most trust holders chose cash. MEKAWIRE's comparison with the Oct 13 terms shows the trust shrinking from about $424 million to about $164 million, which implies that roughly 61% of it was redeemed. The PIPE held at about $200 million with Foxconn still in the lead, so Agility enters the market with less money than planned but with its strategic backers in place. The release names NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC and Playground Global as investors and partners.

The order book behind the listing

The release repeats the commercial case: more than $300 million of committed multi-year Digit 5 orders, which the companies stress is potential value tied to contractual milestones and not current revenue; an expanded deployment with GXO at two more facilities; an AGCO manufacturing pilot due to start in 2027; three more manufacturing customers in paid programs; and a pipeline of more than 30 prospective customers. Digit 5 early-access deliveries are planned for the first half of 2027 and general availability for the end of 2027. Agility's 2025 net sales were $1.782 million and its net loss $138.1 million, according to the Form S-4 we analysed in our Agility explainer.

MEKAWIRE analysis

The money that stayed is strategic money and the money that left is the public float, so AGLT starts life owned mainly by partners and early backers.

Verified rows in MEKAWIRE's database as of Oct 30, 2026, plus the Oct 30 release. Implied redemptions = 1 minus (164 / 424). Cash cover = 465 / 138.1 (2025 net loss from the Form S-4).

With the $465 million, Agility's disclosed equity funding since its 2022 Series B rises to about $832 million by our count of verified rounds. The new cash is about 3.4 times the 2025 net loss, which funds the Digit 5 ramp into 2027 at last year's burn but leaves little slack if losses double again, as they did from 2024 to 2025. The strongest counter-argument to reading the redemptions as a verdict on humanoids is structural: SPAC trust holders often redeem because they can take their money back and keep their warrants, so a 61% rate says as much about the instrument as about the robot. A small float can also make AGLT volatile in its first weeks of trading.

What would change our view: a large reversal of redemption requests before Nov 2, a named customer behind the $300 million order book, or Digit 5 deliveries ahead of the first half of 2027. The next dates are the Nov 2 vote, the Nov 4 closing and the first AGLT trading day on Nov 5.
